Companies House

The Unique Tax Reference (UTR) is a 10-digit number unique to your company that’s issued by HM Revenue and Customs (HMRC). HMRC are notified once as your company has been registered, they’ll then mail (regular mail, not email) your company’s UTR to the Registered Office normally within a few weeks of incorporation. 

The only way to notify Companies House about a change in your limited company’s shareholding situation is to file a confirmation statement. Find out how to in our blog. 

When forming a limited company it’s possible to have another company acting as any of the following: director, shareholder, person with significant control (PSC), and secretary. These are called ‘corporate appointments’. The information that you provide for a corporate appointment differs slightly from the information that you need to provide for a regular human appointment. 

Registering a limited company is extremely simple. However, sometimes applications are rejected by Companies House (don’t worry; if you are forming with us you can resubmit the application for no extra charge). Here are 3 of the most common reasons why applications tend to be rejected. 

The PROOF (PROtected Online Filing) scheme is a free service provided by Companies House that helps protect your company from fraud. Registering your company for PROOF means that Companies House stop accepting paper forms (appointment changes, change of registered office, company name change etc) for your company. 

Thanks to the wonders of modern technology, you can now manage all your company filing (officer appointments, confirmation statement, updating the registered office and much more) online. This is all enabled by a code known as the Webfiling Authentication Code (WAC) that is provided straight after a company has been formed. 

A short one for you all today: What’s the difference between a shareholder and a subscriber? Well there’s not much difference at all. A shareholder is someone who owns shares in a limited company. They own the company along with other shareholders (if there are others). 

Undoubtedly one of the most common queries that we get here at Company Formation MadeSimple is about what the difference between two very important filing obligations are for a limited company. These are Confirmation Statements and Annual Accounts. 

The “Section 243 Exemption” is a term you will come across when appointing a limited company director via the AP01 form (online or through paper documentation). A 243 exemption means the proposed director’s residential address will not be disclosed to any credit reference agencies.

When it comes to a limited company’s director there’s quite a bit you can change online: Name, service address (official address), residential address, occupation, even the nationality. The date of birth however, is not so simple to update. After all, whilst all of the above can change, someone’s date of birth can’t. But what if you entered the incorrect date of birth when appointing a director?

When appointing a limited company director Companies House request your director’s ‘Full forename(s)’ and ‘Surname’. If you wish you can withhold the middle name. 

The “Return of Allotment of Shares” is the process of adding new shares into a company. For example, a company formed with 1 share can complete a “Return of Allotment of Shares” (also known as the SH01 form) and increase the number of shares to a new amount. 

When you appoint a director with Companies House (via the AP01 form of via our system) you are able to backdate the appointment.  

The Webfiling Authentication Code is made up of 6 alphanumeric characters and enables you to make online updates to your company, through both our system and the Companies House system. With it you can file documents to; appoint a new director, resign a current one, change the registered office, add brand new shares, and more.
